1. PARTIES
This Compliance Dossier Service Agreement (the "Agreement") is entered into on [EFFECTIVE DATE] by and between TrackHalal ("Service Provider"), with its principal operating address at [TRACKHALAL ADDRESS], and [CLIENT NAME] ("Manufacturer"), a manufacturer organized under the laws of [CLIENT JURISDICTION] with its principal place of business at [CLIENT ADDRESS].
The Service Provider and Manufacturer may each be referred to individually as a "Party" and together as the "Parties."
2. SCOPE
Service Provider will prepare submission-ready compliance documentation for [PRODUCT / SKU LIST] intended for [TARGET MARKET], based solely on documents, evidence, and confirmations supplied by Manufacturer and its designated counterparties.
3. DELIVERABLES
Depending on the package selected in the applicable order summary, deliverables under this Agreement will include one of the following:
- BPJPH SHLN dossier pack: submission-ready Indonesia evidence pack for
[PRODUCT / SKU LIST]. - ASEAN pack (ID+MY+SG): coordinated compliance pack covering Indonesia, Malaysia, and Singapore for
[PRODUCT / SKU LIST]. - Compliance retainer: ongoing monitoring, update, and dossier-maintenance support for
[CLIENT NAME]under a monthly service arrangement.
4. PRICING
Pricing under this Agreement is as follows: $1,500 Indonesia Pack / $2,500 ASEAN Pack / $500/mo Retainer.
Unless otherwise stated in a countersigned order summary, payment terms are 50% upfront, 50% on delivery. Manufacturer billing details are [BILLING ENTITY], [BILLING ADDRESS], and [BILLING CONTACT EMAIL].
5. TIMELINE
The target turnaround is 14 calendar days from document receipt, measured from the date Service Provider confirms complete receipt of all required documents and instructions listed for the selected package.
If required materials are incomplete, inconsistent, untranslated, or submitted in stages, the timeline will be extended accordingly and a revised target date of [REVISED DELIVERY DATE] may be issued.
6. LIABILITY CAP
Service Provider's total aggregate liability arising out of or relating to this Agreement is limited to the fees actually paid by Manufacturer under this Agreement.
7. SCOPE LIMITATION
Manufacturer acknowledges that the service is a document-preparation and readiness service only, and that regulatory, certifier, and importer outcomes remain outside Service Provider's control.
8. CLIENT RESPONSIBILITY
Manufacturer is solely responsible for the completeness, legality, and accuracy of all documents, certificates, declarations, labels, process descriptions, HS-code inputs, and supporting evidence it provides.
9. IMPORTER CLAUSE
The importer or official representative designated by Manufacturer is [IMPORTER / REPRESENTATIVE NAME] of [IMPORTER ENTITY], located at [IMPORTER ADDRESS].
10. CERTIFICATE VALIDITY GATE
The relevant THIDA certificate details are [CERTIFICATE NUMBER], issued to [CERTIFICATE HOLDER], with an expiry date of [CERTIFICATE EXPIRY DATE].
11. KAMRAN DISCLOSURE
Manufacturer acknowledges this disclosure and agrees that technical review by TrackHalal is separate from any independent halal certification or authority decision.
12. CONFIDENTIALITY
Service Provider will use Manufacturer data only for performance of this Agreement, will not share Manufacturer documents with third parties, and will apply reasonable administrative and technical safeguards to stored files.
Unless otherwise instructed in writing, Service Provider will retain project records for [RETENTION PERIOD] after final delivery and then securely delete them within [DELETION WINDOW]. Manufacturer may request earlier deletion in writing once all deliverables have been accepted and paid.
13. FORCE MAJEURE
Neither Party will be liable for delay or failure to perform caused by events beyond reasonable control, including authority backlog, system outages, courier failures, natural disasters, labor disruption, or government action.
14. GOVERNING LAW
This Agreement and any non-contractual disputes arising out of or in connection with it will be governed by and construed in accordance with the laws of Taiwan (R.O.C.), without regard to conflict-of-law rules.
The Parties submit to the competent courts of [TAIWAN VENUE], Taiwan (R.O.C.), unless the Parties agree otherwise in writing.

By signing below, each Party confirms that it has authority to bind the relevant entity and agrees to the terms of this Agreement.
